# Tambi SDK Commercial License Agreement

## Version 1.0

### 1. Grant of License
TalkSay Inc. ("Licensor") grants you ("Licensee") a non-exclusive, non-transferable, revocable license to use the Tambi SDK ("Software") solely for developing applications compatible with TalkSay’s products subject to the terms and conditions of this agreement.

### 2. Restrictions
- **No Distribution**: Licensee shall not distribute, sublicense, or otherwise transfer the Software to any third party without express written permission from Licensor.
- **No Modification**: Licensee shall not modify, adapt, translate, or create derivative works based on the Software without express written permission from Licensor.
- **Commercial Use**: Any commercial use of the Software requires a separate commercial license agreement with Licensor. Contact cx@tambi.ai for more information.

### 3. Ownership
Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights. Licensee acknowledges that no ownership rights are transferred by this agreement.

### 4. Termination
This license is effective until terminated. Licensor may terminate this license at any time without notice if Licensee breaches any terms of this agreement. Upon termination, Licensee must cease all use of the Software and destroy all copies in their possession.

### 5. Disclaimer of Warranties
The Software is provided "as is" without warranty of any kind. Licensor disclaims all warranties, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

### 6. Limitation of Liability
In no event will Licensor be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of the use or inability to use the Software, even if Licensor has been advised of the possibility of such damages.

### 7. Governing Law
This agreement shall be governed by and construed in accordance with the laws of the State of Delaware without regard to its conflict of law principles.

### 8. Entire Agreement
This agreement constitutes the entire agreement between Licensor and Licensee with respect to the Software and supersedes all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.
